SHAREHOLDERS

Pursuant to the Euronext Growth Milan Issuers’ Regulations approved and published by Borsa Italiana, as amended and supplemented (“Euronext Growth Milan Issuers’ Regulations”), anyone holding at least 5% of a class of shares of Gentili Mosconi S.p.A. is a “Significant Shareholder”.

The attainment or crossing of the thresholds of 5%, 10%, 15%, 20%, 25%, 30%, 50%, 66.6%, and 90% of the share capital, as well as reductions below these thresholds, constitute, pursuant to the Euronext Growth Milan Issuers’ Regulations, a “Substantial Change” that must be communicated by the Significant Shareholders (i.e., the shareholders who have assumed such status by virtue of the transaction) to the administrative body of Gentili Mosconi S.p.A.

To this end, the Significant Shareholder (i.e. the shareholder who, by virtue of the operation, has assumed such status) must notify Gentili Mosconi S.p.A. of the Substantial Change promptly and in any case within 4 trading days starting from the day on which it became aware of the operation that is capable of determining the occurrence of the obligation, regardless of the date of execution, or from the day on which the person subject to the obligation became aware of the events that entail changes in the share capital, indicating:

1. their own identity;
2. the date on which the Substantial Change of Holdings occurred;
3. the nature and extent of the Significant Shareholder’s interest in the transaction; in the case of issuance of multiple voting shares, the number of voting rights and the number of ordinary shares held.
